Seller Agreement

This Seller Agreement ("Agreement") governs your use of the Web42 platform at https://web42.ai as a creator or seller of AI agents ("Agents"). By publishing an Agent on the Platform, you agree to be bound by this Agreement in addition to our Terms of Service, Acceptable Use Policy, and Privacy Policy.

1. Eligibility

To publish and sell Agents on Web42, you must:

  • Be at least 18 years old and capable of forming a binding contract
  • Maintain an active Web42 account in good standing
  • Complete Stripe Connect onboarding (identity verification and banking details) before listing paid Agents

2. Agent Content and Warranties

By publishing an Agent, you represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to publish the Agent and its contents
  • The Agent does not contain malware, viruses, or any code designed to harm users' systems or data
  • The Agent does not infringe on any third party's intellectual property rights, trade secrets, or proprietary information
  • The Agent's listing (description, metadata, cover image, README) accurately represents its functionality
  • The Agent complies with our Acceptable Use Policy and all applicable laws

You are solely responsible for the Agents you publish, including their behavior, output, and any consequences of their use.

3. Licensing

3.1 License Selection

You must select a license for each Agent you publish. Available license types are: MIT, Apache-2.0, GPL-3.0, BSD-3-Clause, Proprietary, and Custom. The license you choose determines what Buyers can and cannot do with your Agent.

3.2 License Grant to Buyers

When a Buyer acquires your Agent (whether free or paid), they receive a license to use the Agent as specified by your chosen license. Unless your license explicitly permits it, purchasing an Agent does not transfer ownership of the underlying intellectual property to the Buyer.

3.3 License Protection

Web42 enforces the licenses you choose. Buyers who violate your Agent's license terms — including unauthorized redistribution, re-uploading, or resale of Proprietary-licensed or otherwise protected Agents — will have their accounts permanently deleted and their access revoked. 3.4 License Grant to Web42

By publishing an Agent on the Platform, you grant Web42 a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your Agent on the Platform, including in search results, curated collections, and marketing materials.

4. Pricing and Revenue

4.1 Free and Paid Agents

You may offer Agents for free or set a price. The minimum price for paid Agents is $5.00 USD.

4.2 Platform Fee

Web42 charges a 10% platform fee on all paid transactions. This fee is automatically deducted from the purchase price before the remainder is transferred to you.

4.3 Payouts

Payouts are processed through Stripe Connect. You are responsible for maintaining accurate and up-to-date banking information in your Stripe account. Payout timing and availability are subject to Stripe's terms and processing schedules.

4.4 Taxes

You are solely responsible for determining and fulfilling your tax obligations arising from income earned through the Platform. Web42 does not withhold taxes on your behalf unless required by law. You may receive tax reporting forms from Stripe in accordance with applicable regulations.

5. Refunds

5.1 Buyer-Initiated Refunds

Buyers may request a self-service refund within 3 days (72 hours) of purchase. When a refund is processed, the buyer's access is revoked, your payout for that transaction is reversed, and the platform fee is also reversed.

5.2 Seller-Initiated Refunds

You may issue a refund to any buyer at any time through your seller dashboard. The same access revocation and payout reversal apply.

5.3 Fraudulent Refund Abuse

If you believe a buyer is abusing the refund system, report it to legal@web42.ai.

6. Content Removal

Web42 reserves the right to remove any Agent from the Platform at any time, for any reason, including but not limited to:

  • Violation of this Agreement, the Terms of Service, or the Acceptable Use Policy
  • Receipt of a valid DMCA or intellectual property complaint
  • Reports of malicious behavior or user harm
  • Platform integrity or security concerns

We will make reasonable efforts to notify you before removal, except where immediate action is necessary.

7. Account Termination

We may suspend or terminate your seller privileges or account if you:

  • Violate this Agreement or any Web42 policy
  • Publish Agents that repeatedly receive complaints or refund requests
  • Provide false information during onboarding or in Agent listings
  • Engage in fraudulent, deceptive, or abusive conduct

Upon termination, your Agents will be removed from the Platform, pending payouts may be withheld as permitted by law, and buyer access to your Agents will be handled in accordance with our Terms of Service.

8. Indemnification

You agree to indemnify and hold harmless Web42 and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your Agents, your violation of this Agreement, or your infringement of any third-party rights.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Web42 SHALL NOT BE LIABLE FOR ANY LOSS OF REVENUE, LOSS OF PROFITS, OR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM AS A SELLER.

10. Changes

We may update this Agreement from time to time. We will notify sellers of material changes by posting the updated Agreement on this page with a revised "Last updated" date. Your continued use of the Platform as a seller after changes constitutes acceptance.
