Terms of Service

Welcome to Web42 ("Platform", "we", "us", or "our"). By accessing or using our website at https://web42.ai (the "Site") and related services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

1. Overview

Web42 is a digital marketplace where users can discover, purchase, install, and publish AI agents ("Agents"). The Platform connects creators ("Sellers") who publish Agents with users ("Buyers") who acquire them.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using our services, you represent and warrant that you meet these requirements.

3. Accounts

3.1 Registration

You may create an account using GitHub OAuth authentication. You are responsible for maintaining the confidentiality of your account and all activities that occur under it.

3.2 Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep your profile information up to date.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms or engage in conduct that is harmful to other users or the Platform.

4. Marketplace Transactions

4.1 Pricing

Sellers set prices for their Agents. The minimum price for paid Agents is $5.00 USD. Free Agents may be offered at no cost.

4.2 Platform Fee

Web42 charges a 10% platform fee on all paid transactions. This fee is automatically deducted from the purchase price before the remainder is transferred to the Seller.

4.3 Payments

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service. Web42 does not store your payment card details.

4.4 Refund Policy

Buyers may request a refund within 7 days of purchase. Refunds are processed through Stripe and will reverse both the seller payout and the platform fee. Upon refund, access to the Agent is revoked. We reserve the right to deny refund requests that appear to be abusive.

4.5 Seller Payouts

Sellers receive payouts through Stripe Connect. Sellers are responsible for completing Stripe's onboarding process, including identity verification and providing accurate banking information.

5. Agent Publishing

5.1 Content Standards

Sellers are solely responsible for the Agents they publish. Agents must not contain malicious code, violate intellectual property rights, or include illegal, harmful, or misleading content.

5.2 Review and Approval

We reserve the right to review, approve, reject, or remove any Agent from the Platform at our sole discretion.

5.3 Licensing

Sellers must specify a license for their Agents. Buyers receive a license to use the Agent as specified by the Seller. Unless otherwise stated, purchasing an Agent does not transfer ownership of the underlying intellectual property.

5.4 Remixes

Where permitted by the Agent's license, users may remix (fork) Agents. Remixed Agents must comply with the original Agent's license terms.

6. Intellectual Property

6.1 Platform Content

The Web42 name, logo, website design, and all related intellectual property are owned by Web42. You may not use our trademarks without prior written consent.

6.2 User Content

You retain ownership of content you create and publish on the Platform. By publishing content, you grant Web42 a non-exclusive, worldwide, royalty-free license to display, distribute, and promote your content on the Platform.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose
  • Distribute malware, viruses, or harmful code through Agents
  • Attempt to gain unauthorized access to other accounts or systems
  • Scrape, crawl, or use automated means to access the Platform without permission
  • Interfere with or disrupt the Platform's infrastructure
  • Impersonate another person or entity
  • Circumvent any access controls or payment mechanisms
  • Engage in fraudulent transactions or abuse the refund system

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DO NOT ENDORSE, WARRANT, OR GUARANTEE ANY AGENT PUBLISHED BY SELLERS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB42 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES FROM AGENTS PURCHASED OR INSTALLED THROUGH THE PLATFORM.

10. Indemnification

You agree to indemnify and hold harmless Web42 and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of any third-party rights.

11. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on this page with a revised "Last updated" date. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms shall be resolved in the courts of competent jurisdiction.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
